Combined Shareholders’ Meeting 2021

Rexel’s combined Shareholders’ Meeting was held on the 22nd April in camera at the Registered Office, under the Chairmanship of François Henrot, Vice-Chairman of the Board of Directors and Lead Independent Director.

The shareholders approved all the resolutions, most notably:

• The distribution of the amount of 0.46 euro per share;
• The renewal of the terms of office of Directors François Henrot, Marcus Alexanderson and Maria Richter for a period of four years.
• The appointment of Guillaume Texier as a Director for a four-year term of office effective September 1, 2021;
• All the aspects relating to the compensation of the board members;
• Bringing all the company by-laws up to date to reflect recent legislative changes.
